Terms & Conditions

These Website Platform Terms & Conditions (“Terms”) govern the provision of the Website Platform subscription service by WJM Creative (Pty) Ltd, trading as WJMC (“WJMC”, “we”, “us” or “our”), to the person or business subscribing to the service (“the Client”, “you” or “your”).

These Terms must be read together with the package description selected by the Client, the applicable payment or checkout page, WJMC’s Privacy Policy, and any written quotation, schedule or service agreement issued for the subscription.

By selecting the acceptance checkbox, submitting the onboarding form, proceeding to payment, activating a subscription, paying an invoice or making use of the Website Platform service, the Client confirms that they:

  • have read and understood these Terms;
  • agree to be bound by these Terms;
  • have the authority to enter into this agreement on behalf of the named business; and
  • consent to the electronic conclusion and administration of this agreement.

1. The Website Platform Service

The Website Platform service is a managed monthly subscription that combines the setup and launch of a professional business website with ongoing hosting, website care, technical support, security, backups and website management.

The service is designed to provide small businesses with a professionally managed online presence without requiring a large once-off website development payment.

The Website Platform subscription is a continuing service relationship. It is not an instalment sale, rent-to-own arrangement or financing agreement. Monthly subscription payments do not accumulate towards the purchase or automatic ownership of WJMC’s platform, templates, systems or intellectual property.

2. Available Packages

The Client will receive the package selected during the onboarding and payment process. The current Website Platform packages are outlined below.

2.1 Starter Platform

  • One professionally configured single-page website.
  • Framework-based design customised with the Client’s branding, colours, content and imagery.
  • Responsive desktop, tablet and mobile implementation.
  • One professional email mailbox.
  • Website hosting.
  • Platform care and maintenance.
  • Standard technical support.
  • Standard website management.
  • Basic on-page SEO setup.
  • Target launch turnaround of approximately 48 business hours once all requirements have been completed.

2.2 Growth Platform

  • Up to four standard website pages.
  • Framework-based design customised with the Client’s branding, colours, content and imagery.
  • Responsive desktop, tablet and mobile implementation.
  • Up to five professional email mailboxes.
  • Website hosting.
  • Platform care and maintenance.
  • Standard technical support.
  • Standard website management.
  • Basic on-page SEO setup.
  • Target launch turnaround of approximately 48 business hours once all requirements have been completed.

2.3 Pro Platform

  • Up to four standard website pages.
  • Up to four additional service pages.
  • Blog functionality.
  • Portfolio or case-study functionality.
  • Framework-based design customised with the Client’s branding, colours, content and imagery.
  • Responsive desktop, tablet and mobile implementation.
  • Up to ten professional email mailboxes.
  • Website hosting.
  • Priority platform care and technical support.
  • Enhanced website management.
  • Basic on-page SEO setup.
  • Quarterly platform review.
  • Target launch turnaround of approximately 72 business hours once all requirements have been completed.

 

The package page, checkout page or written package schedule applicable at the time of subscription will determine the Client’s specific pricing, features and included limits.

3. Framework-Based Service

The Website Platform service is a standardised, framework-based service and not a bespoke website design or custom software development service.

WJMC will use its approved templates, page structures, design systems, components, plugins, processes and technical configurations to deploy the Client’s website efficiently and consistently.

WJMC will customise the selected framework using the Client’s:

  • logo and visual identity;
  • brand colours and typography;
  • business information;
  • services or products;
  • approved copy and imagery; and
  • reasonable design preferences.

 

The Client acknowledges that the service does not include unlimited design flexibility, bespoke layouts, custom programming or the recreation of another website.

4. Website Setup and Launch

Website setup may begin once WJMC has received:

  • the first successful subscription payment;
  • the completed onboarding information;
  • the required business and contact information;
  • the Client’s logo, branding and available assets;
  • any required domain or platform access;
  • the information needed to prepare the website content; and
  • any clarification required during the onboarding consultation.

 

Advertised turnaround periods are target production times and not unconditional guarantees.

Turnaround only begins once all information, payment, access and assets reasonably required by WJMC have been supplied. Turnaround periods do not include:

  • time spent waiting for Client feedback or approval;
  • delays caused by missing or incomplete information;
  • domain registration, transfer or DNS propagation periods;
  • third-party verification or approval processes;
  • email migration delays;
  • weekends or South African public holidays;
  • requirements outside the selected package; or
  • circumstances beyond WJMC’s reasonable control.

5. Content and Copy Preparation

Where included in the Website Platform process, WJMC may prepare standard website copy using the information supplied by the Client.

This service is intended to organise, refine and present the Client’s existing business information in a professional website format. It does not include extensive brand strategy, technical writing, legal writing, regulated-industry compliance writing, long-form content production or specialist copywriting unless agreed separately.

The Client remains responsible for reviewing and approving:

  • business descriptions;
  • service and product information;
  • pricing or promotional claims;
  • contact information;
  • qualifications, certifications or guarantees;
  • legal or regulatory statements; and
  • all other factual information published on the website.

WJMC will not be liable for losses, disputes or claims arising from inaccurate, incomplete, misleading or unlawful information supplied or approved by the Client.

6. Client Responsibilities

The Client agrees to:

  • provide complete and accurate information;
  • supply all requested logos, brand assets, images, documents and access details;
  • respond to questions and approval requests within a reasonable period;
  • review all website content before launch;
  • ensure that supplied content does not infringe third-party rights;
  • maintain accurate contact and billing information;
  • keep account passwords and access credentials secure;
  • use the website lawfully;
  • pay subscription fees and approved additional charges when due; and
  • inform WJMC promptly of any material change affecting the website or subscription.

WJMC will not be responsible for delays caused by the Client’s failure to provide information, content, approval, payment or access.

7. Client Review and Approval

WJMC will provide the Client with an opportunity to review the website before launch.

The review process is intended to correct factual errors, replace unsuitable supplied content and make reasonable refinements within the approved framework.

The review process does not include:

  • unlimited revisions;
  • a complete redesign;
  • changing the approved website structure;
  • creating additional pages;
  • introducing functionality outside the selected package; or
  • repeated changes to previously approved content or direction.

Requests outside the included review process may be quoted and billed separately.

Approval of the website confirms that the Client has reviewed and accepted its content, design, functionality and business information.

8. Hosting

The Website Platform is hosted and managed within WJMC’s approved hosting infrastructure or through an appointed third-party hosting provider.

Hosting is included only while the relevant subscription remains active and fully paid.

WJMC may:

  • select or change hosting providers;
  • move the website between suitable servers;
  • change technical configurations;
  • implement security or performance measures; and
  • replace infrastructure where reasonably required.

WJMC will take reasonable steps to maintain reliable hosting but does not guarantee uninterrupted availability or 100% uptime.

9. Platform Care and Maintenance

Ongoing website care may include:

  • WordPress core updates;
  • theme and plugin updates;
  • routine security monitoring;
  • website backups;
  • uptime monitoring;
  • basic performance maintenance;
  • resolution of ordinary technical issues; and
  • reasonable preventative maintenance.

 

WJMC may postpone, replace or exclude an update where it believes the update may create a security, compatibility or stability risk.

Maintenance does not include the repair of issues caused by:

  • unauthorised Client or third-party changes;
  • third-party integrations not implemented by WJMC;
  • external software or systems;
  • expired or Client-owned licences;
  • malicious activity outside WJMC’s reasonable control;
  • changes made after the website has been exported or migrated; or
  • requirements outside the Website Platform service.

10. Website Management

Website management covers reasonable minor updates to the existing website structure, such as:

  • small text corrections;
  • contact-detail updates;
  • replacement of existing images;
  • minor service-information updates; and
  • basic changes within existing sections.

 

Website management does not include:

  • new pages;
  • new website sections requiring design or development;
  • major copy rewrites;
  • new functionality;
  • campaign landing pages;
  • large product or portfolio uploads;
  • ongoing blog writing;
  • complete redesigns; or
  • work unrelated to the website.

 

Additional work may be quoted separately or may require an upgrade to another package.

11. Technical Support

Technical support applies to the Website Platform, its hosting, included email service and systems administered by WJMC.

Support does not include general IT support, device support, internet connectivity, unrelated software, Client-managed systems or third-party services outside WJMC’s control.

Standard support is provided during WJMC’s normal business hours:

Monday to Friday, 09:00 to 17:00 South African time, excluding public holidays.

Priority support means that Pro Platform requests receive increased queue priority. It does not constitute guaranteed immediate assistance, 24-hour support or emergency availability.

12. Email Services

Where professional email mailboxes are included, the number of mailboxes will be determined by the selected package.

Email services are subject to:

  • the limits of the selected email provider;
  • available mailbox storage;
  • acceptable-use and anti-spam requirements;
  • domain configuration;
  • third-party service availability; and
  • the continued payment of the Website Platform subscription.

 

Email migration from an existing provider is not included unless expressly stated.

The Client is responsible for maintaining independent copies of important email records and information.

13. Domains

Domain registration, renewal or transfer is only included where expressly stated in the applicable package or quotation.

A domain registered in the Client’s name remains the Client’s property.

Where WJMC registers or administers a domain on the Client’s behalf, the Client remains responsible for all registration, renewal and transfer costs. Transfer may be subject to the Client’s account being fully paid and the applicable registrar’s requirements.

WJMC will not be responsible for the loss, expiry or suspension of a domain caused by inaccurate Client information, unpaid third-party charges, registrar action or circumstances outside WJMC’s reasonable control.

14. Basic SEO Setup

Basic SEO setup may include reasonable configuration of:

  • page titles;
  • meta descriptions;
  • heading structure;
  • image alternative text;
  • search-engine visibility settings;
  • XML sitemap functionality; and
  • other basic on-page SEO elements appropriate to the package.

 

Basic SEO setup is not an ongoing SEO campaign.

WJMC does not guarantee:

  • search-engine rankings;
  • a particular indexing date;
  • website traffic;
  • leads or enquiries;
  • sales or revenue;
  • market share; or
  • any particular commercial result.

15. Excluded Services

Unless expressly included in the selected package or a written quotation, the Website Platform subscription excludes:

  • bespoke website design;
  • custom programming or software development;
  • e-commerce functionality;
  • online stores or payment-gateway implementation;
  • booking systems;
  • membership systems;
  • client portals;
  • directories or marketplaces;
  • advanced forms;
  • third-party integrations;
  • CRM, ERP or accounting integrations;
  • advanced automation;
  • additional pages outside the selected package;
  • logo design or complete brand development;
  • professional photography or videography;
  • specialist or long-form copywriting;
  • ongoing blog or article writing;
  • paid advertising management;
  • social media management;
  • ongoing SEO campaigns;
  • formal analytics reporting;
  • legal, financial or regulatory advice;
  • formal accessibility certification;
  • specialist security or penetration testing;
  • third-party licence or subscription fees; and
  • work outside the existing Website Platform structure.

16. Additional Work

Work outside the selected package may be:

  • quoted as a once-off project;
  • billed at WJMC’s applicable hourly rate;
  • added as a recurring service or add-on; or
  • handled through an upgrade to another Website Platform package.

 

WJMC is not required to begin additional work until the Client has approved the applicable cost and scope.

17. Subscription Fees and Billing

The Client agrees to pay the subscription fee displayed for the selected package at the time of checkout or stated in the applicable written quotation.

Subscription fees are payable monthly in advance through WJMC’s approved billing and payment systems.

The first successful payment activates the subscription and authorises WJMC to begin the onboarding and deployment process.

The Client authorises recurring billing using the payment method supplied during checkout, subject to the payment provider’s terms.

The Client is responsible for:

  • maintaining a valid payment method;
  • ensuring sufficient funds are available;
  • keeping billing information current; and
  • settling failed or overdue payments promptly.

 

Prices will be treated as inclusive or exclusive of any applicable taxes according to the information displayed on the payment page or invoice.

Subscription fees may be reviewed periodically. WJMC will provide reasonable advance notice of any material price change applicable to an existing subscription.

18. Initial Subscription Term

The Website Platform service is offered on the basis of an initial twelve-month commercial commitment beginning on the date the subscription is activated.

The initial term reflects the upfront setup, configuration, deployment and onboarding work performed by WJMC as part of the monthly service model.

Where applicable law gives the Client a right to cancel during the initial term, the Client may exercise that right using the notice procedure required by law. WJMC may charge a reasonable cancellation amount or recover permitted costs associated with the early termination, to the extent allowed by applicable law.

19. Continuation After the Initial Term

After the initial twelve-month term, the subscription will continue on a month-to-month basis unless cancelled in accordance with these Terms.

The Client must provide at least 30 calendar days’ written notice of cancellation, subject to any different notice period required by applicable law.

The Client remains responsible for subscription fees falling due during the applicable notice period.

20. Cancellation Procedure

Cancellation must be submitted in writing to:

The cancellation notice must identify:

  • the Client or business name;
  • the website or domain concerned;
  • the person authorised to cancel the subscription; and
  • the requested cancellation date.

 

A cancellation is only effective once it has been received and acknowledged by WJMC.

Stopping a debit order, removing a card, failing to pay, abandoning the website or ceasing communication does not constitute valid cancellation.

21. Consequences of Cancellation

When the subscription ends:

  • WJMC’s obligation to host, manage, maintain and support the website ends;
  • the website may be taken offline;
  • included email services may be suspended or terminated;
  • ongoing security monitoring and backups will stop;
  • premium licences supplied through WJMC may be removed or deactivated;
  • third-party subscriptions connected to the service may need to be replaced; and
  • the Client becomes responsible for arranging alternative hosting, email and technical support.

 

The Client should arrange any required migration before the final service date.

22. Website Export and Migration

After completing the initial twelve-month term, and provided the Client’s account is fully paid, the Client may request one standard export of the website when cancelling the subscription.

The export may include the deployable website files, database and Client-supplied content reasonably available within the Website Platform at the time of export.

The following are not automatically included:

  • migration to another hosting provider;
  • deployment or configuration on a new server;
  • DNS changes;
  • email migration;
  • ongoing support after export;
  • third-party licences owned or supplied by WJMC;
  • WJMC’s internal systems, SOPs, prompts or automation processes; or
  • proprietary tools that are not transferable.

 

Migration, deployment and technical assistance may be quoted separately.

WJMC does not guarantee that an exported website will operate correctly in a different hosting environment or after third-party licences, plugins, software or technical configurations have changed.

Where the subscription ends before completion of the initial term, the availability and cost of an export will be determined according to the circumstances, the outstanding account and applicable law.

23. Suspension for Non-Payment

WJMC may suspend any part of the service where payment is overdue or repeatedly unsuccessful.

Suspension may include:

  • pausing website work;
  • restricting support;
  • suspending website access;
  • taking the website offline;
  • suspending included email services; or
  • withholding an export or migration until the account is settled.

 

Suspension does not cancel the subscription or remove the Client’s responsibility for amounts already due.

WJMC may charge reasonable costs associated with restoring suspended services where substantial administration or technical work is required.

24. Termination by WJMC

WJMC may terminate or suspend the service where the Client:

  • fails to pay amounts due;
  • materially breaches these Terms;
  • uses the service unlawfully;
  • publishes content that creates a material legal, security or reputational risk;
  • abuses, threatens or harasses WJMC personnel or contractors;
  • interferes with WJMC’s infrastructure;
  • distributes spam, malware or malicious content;
  • repeatedly acts outside the agreed scope; or
  • fails to remedy a material breach after receiving reasonable notice.

 

WJMC may act immediately where continued service creates an urgent legal, security or operational risk.

25. Acceptable Use

The Website Platform may not be used to:

  • conduct unlawful, fraudulent or deceptive activity;
  • infringe intellectual property or privacy rights;
  • publish defamatory, discriminatory or abusive material;
  • distribute malware, malicious scripts or spam;
  • misrepresent products, services, qualifications or guarantees;
  • interfere with WJMC’s infrastructure or other clients;
  • collect personal information unlawfully; or
  • operate a materially different or higher-risk business than was disclosed during onboarding.

26. Intellectual Property

The Client retains ownership of the original materials supplied by the Client, including:

  • logos;
  • brand assets;
  • original photographs and videos;
  • business documents;
  • original written content; and
  • other materials owned by the Client before the subscription began.

 

WJMC retains ownership of its underlying:

  • website frameworks;
  • templates and reusable layouts;
  • design systems;
  • code and scripts;
  • processes and workflows;
  • automation systems;
  • prompts and internal documentation;
  • SOPs and deployment methods; and
  • other pre-existing or reusable intellectual property.

 

While the subscription is active, WJMC grants the Client a limited, non-exclusive and non-transferable right to use the completed website for the Client’s own business activities.

The Client may not copy, resell, distribute, sublicense or use WJMC’s platform framework to create websites for unrelated businesses.

A website export does not transfer ownership of WJMC’s underlying reusable systems, processes or intellectual property.

27. Third-Party Materials and Services

The Website Platform may rely on third-party products and services, including hosting providers, content-management software, plugins, themes, email providers, analytics tools, billing platforms, payment processors, CRM systems, booking tools, fonts, stock assets and other online services.

Third-party products and services remain subject to their own:

  • terms and conditions;
  • privacy policies;
  • licensing requirements;
  • pricing;
  • availability; and
  • technical limitations.

 

WJMC does not control and cannot guarantee the ongoing availability, pricing, compatibility or functionality of third-party services.

WJMC may replace a third-party component with a reasonably suitable alternative where required for security, compatibility, availability or commercial reasons.

28. Portfolio and Marketing Use

Unless confidentiality has been agreed in writing, WJMC may display the completed website, the Client’s public-facing brand name and non-confidential project information in its portfolio, website, social media, proposals, case studies and marketing material.

WJMC will not disclose confidential commercial information through such use.

29. Security, Backups and Data Recovery

WJMC will take reasonable technical and organisational measures to protect the Website Platform and maintain appropriate backups.

No website, server, email system, backup system or online service can be guaranteed to be completely secure or continuously available.

WJMC does not guarantee that every file, email, database record or previous website version can always be recovered.

The Client should retain independent copies of important business records, source content, images, documents and email information.

30. Privacy and Personal Information

WJMC may process personal and business information where reasonably necessary to:

  • onboard the Client;
  • provide and support the Website Platform;
  • administer subscriptions and payments;
  • manage bookings and communication;
  • maintain security and service records;
  • comply with legal obligations; and
  • protect WJMC’s legitimate business interests.

 

Personal information will be handled in accordance with WJMC’s Privacy Policy and applicable South African data-protection law.

The Client remains responsible for ensuring that personal information collected through the Client’s website is collected, stored and used lawfully.

Any privacy-policy, cookie-policy or terms template provided by WJMC is a general starting point and does not constitute legal advice. The Client is responsible for obtaining appropriate legal advice where required.

31. Confidentiality

Each party agrees to treat confidential information received from the other party with reasonable care and not to disclose it unnecessarily.

Confidential information may be disclosed where:

  • required to provide the service;
  • shared with an authorised employee, contractor or service provider;
  • required by law or a competent authority;
  • already lawfully in the public domain; or
  • disclosure has been authorised by the relevant party.

32. No Guarantee of Business Results

WJMC provides the website, hosting, management and related technical services described in these Terms.

WJMC does not guarantee that the Website Platform will produce a particular number of visitors, enquiries, leads, sales, bookings, customers, rankings or revenue.

The Client remains responsible for its broader business strategy, customer service, sales process, marketing activity, pricing, reputation and commercial decisions.

33. Limitation of Liability

To the maximum extent permitted by law, WJMC will not be liable for indirect, incidental, special or consequential loss arising from the Website Platform service, including:

  • loss of revenue or profit;
  • loss of opportunity;
  • loss of anticipated savings;
  • loss of business information;
  • loss of goodwill;
  • third-party claims;
  • search-ranking changes;
  • email-delivery failures;
  • website downtime; or
  • interruption of the Client’s business.

 

WJMC will not be responsible for loss caused by:

  • incorrect Client instructions or information;
  • Client-approved content;
  • unauthorised changes;
  • third-party services or outages;
  • domain or DNS providers;
  • payment processors;
  • email providers;
  • search engines or social platforms;
  • cyberattacks despite reasonable security measures;
  • Client password or access failures; or
  • events outside WJMC’s reasonable control.

 

Where WJMC is legally liable, WJMC’s total aggregate liability relating to the Website Platform service will, to the maximum extent permitted by law, be limited to the subscription fees paid by the Client for the affected service during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes a right or remedy that cannot lawfully be excluded.

34. Client Indemnity

The Client agrees to indemnify WJMC against reasonable third-party claims, losses, liabilities and expenses arising from:

  • content supplied or approved by the Client;
  • the Client’s products, services or business conduct;
  • infringement of third-party intellectual property;
  • unlawful collection or use of personal information;
  • misleading or inaccurate business claims;
  • the Client’s breach of these Terms; or
  • the Client’s unlawful use of the Website Platform.

35. Force Majeure

WJMC will not be liable for delay or failure caused by circumstances beyond its reasonable control, including:

  • power failures;
  • internet or telecommunications failures;
  • hosting or software outages;
  • cyberattacks;
  • natural disasters;
  • fire or flooding;
  • civil unrest;
  • government restrictions;
  • labour disruptions;
  • serious illness;
  • failure of third-party providers; or
  • other events that could not reasonably have been prevented.

 

WJMC will take reasonable steps to resume the affected service when reasonably possible.

36. Package Changes

The Client may request an upgrade at any time, subject to the applicable pricing and implementation requirements.

A downgrade may only take effect from an agreed future billing date and may require:

  • removal of pages or functionality;
  • reduction of email mailboxes;
  • changes to support or management levels; or
  • other changes required to comply with the lower package.

 

WJMC is not required to continue providing features that are not included in the downgraded package.

37. Changes to the Service or Terms

WJMC may update the Website Platform service, package structure or these Terms where reasonably required for:

  • legal or regulatory compliance;
  • security;
  • technical improvements;
  • third-party service changes;
  • operational requirements; or
  • the continued sustainability of the service.

 

Material changes affecting an active Client will be communicated with reasonable advance notice, except where an immediate change is required for legal, security or technical reasons.

The version accepted by the Client, together with any properly notified changes, will govern the subscription.

38. Notices and Communication

The Client agrees that notices, invoices, confirmations and service communications may be delivered electronically using the email address or contact information supplied during onboarding.

The Client must keep its contact information current.

Notices to WJMC relating to the Website Platform service should be sent to:

39. Entire Agreement and Order of Precedence

These Terms, together with the selected package description, checkout information, Privacy Policy and any applicable written quotation or schedule, constitute the agreement governing the Website Platform subscription.

If there is a conflict between documents:

  1. a specifically signed written agreement will take precedence;
  2. the package schedule or quotation will take precedence regarding package-specific pricing and deliverables; and
  3. these Terms will apply to the general operation of the service.

 

No verbal statement changes these Terms unless confirmed in writing by an authorised representative of WJMC.

40. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be limited or removed only to the extent necessary. The remaining provisions will continue to apply.

41. No Waiver

A failure or delay by WJMC in enforcing any provision does not waive WJMC’s right to enforce that provision later.

42. Assignment

The Client may not transfer the subscription or this agreement to another person or business without WJMC’s prior written approval.

WJMC may transfer or subcontract parts of the service to a suitable provider, contractor or successor, provided this does not materially remove the Client’s rights under the agreement.

43. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

The parties agree to attempt to resolve any dispute in good faith before commencing formal legal proceedings.

Any unresolved dispute will be subject to the jurisdiction of a competent South African court.

45. Acceptance

By selecting the Website Platform Terms & Conditions acceptance checkbox and proceeding with onboarding or payment, the Client confirms that they have read, understood and agreed to these Terms.
